This agreement ('Agreement') sets forth the terms and conditions that govern your use of an
evaluation copy of XID (the 'Software').

Exact Identity hereby grants you as the ('Licensee') a non-exclusive, royalty-free, limited
license to reproduce and use a copy of the Software during the Term, as defined below,
solely for Licensees internal evaluation purposes.

This license is personal to the Licensee and cannot be transferred to any other third party.
Licensee agrees that it will not: 
i. directly or indirectly provide the Software to any third party for any purpose; 
ii. work around any technical protections in the Software with an intent to exceed the scope
of the license in this Letter Agreement; or
iii. reverse engineer, decompile or disassemble the Software except and only to the extent
that applicable law expressly permits despite this limitation.
 
Licensee acknowledges and agrees that the Software is provided 'as is' and with all faults,
and that Exact Identity makes no representations or warranties, express or implied, with
respect to the Software.

Licensee further acknowledges and agrees that Exact Identity will have no liability
whatsoever to Licensee for damages of any nature directly or indirectly related to
Licensees use of the Software.

Licensee acknowledges and agrees that Exact Identity is the owner of all right, title and
interest in and to the Software, including all intellectual property rights embodied therein,
and that no rights other than those expressly set forth in this Agreement shall pass to
Licensee.

All rights not expressly granted herein are reserved by Exact Identity.
This Agreement is valid from todays date and expires at the end of the quarter (the 'Term').
The terms of this Agreement and Licensees evaluation of the Software are confidential.

This Agreement constitutes the entire agreement between the parties, and merges all prior
and contemporaneous communications with respect to the subject matter hereof.
This agreement shall be governed by the laws of the State of Washington, U.S.A.
